These platforms serve as a collaborative hub for service providers, consumers, and businesses involved in transactions related to hiring or purchasing services.
Through our Professional Referral Program**, consumers and businesses seeking services are connected with service providers under a Referral Agreement. By entering into this agreement, Brand Collaboration** commits to providing access to the program, while service providers agree to participate actively. The service provider acknowledges joint responsibility for associated fees. Any potential customer who contacts the service provider due to Brand Collaboration via call, email, text, or any communication channel shall be deemed a Referral.

1. Service Provider Responsibilities
Profile Completion and Listing Requirements
– Service providers must create and complete their profile on the Brand Collaboration platform.
– All services and products must be listed with detailed pricing and descriptions.
– Failure to complete the listing will result in no search engine ranking** and **no referrals.
Review and Rating Requirements
– Service providers must maintain at least five (5) reviews and collect at least one (1) new review per quarter.
– Maintaining satisfactory ratings is crucial for continued visibility and referral opportunities.
Service Provision
– Service providers must ensure compliance with federal, state, and local laws.
– They must adhere to **industry standards and ethical guidelines**.
Referral Status Reporting
– Service providers must provide accurate and timely updates on referral status.
– Updates must be made according to Brand Collaboration guidelines.

2. Referral Management
No Obligations or Guarantees
– Brand Collaboration does not guarantee any number, quality, or frequency of referrals.
Referral Satisfaction
– Service providers must **ensure customer satisfaction.
– If a referral is dissatisfied, the service provider must notify Brand Collaboration immediately.
Use of the Platform
– Service providers must use the Brand Collaboration platform for all transactions.
– Final invoices and receipts must be uploaded within five (5) days after payment acceptance.
Exclusivity & Non-Exclusivity
– Referral exclusivity depends on factors like customer satisfaction, market experience, and competition.

3. Referral Acceptance
Employee Authority
– Employees of the service provider have the authority to accept referrals on their behalf.
Acceptance & Denial
– Referrals are considered **accepted upon delivery unless denied in writing within 24 hours.
– If denied, service providers must provide written notice to Brand Collaboration.
– If the referral is an existing client, proof must be provided within 24 hours.

4. Compensation
Percentage-Based Referral Fee
– A one-time setup/activation fee of $99 is required upon signing.
– Service providers agree to pay a 5% referral fee on each successful client booking.
– Fees are based on gross earnings from the referral.
– Minimum referral fee: $25 per referral.
Refunds and Late Payments
– All fees are non-refundable.
– Late payments may result in suspension or termination.
– Interest on overdue payments: 1.5% per month or the maximum allowable by law.
Chargebacks & Collections
– Any disputes must be reported within three (3) days.
– False fraud claims may result in a $150 administrative fee and legal action.
– Brand Collaboration has the right to pursue collections with attorney fees.

5. Term and Termination
Term & Renewal
– The agreement is effective for one (1) year and renews automatically unless terminated.
Cancellation Policy
– Either party may terminate the agreement with 30 days’ written notice.
– **Membership activation fee ($99) is non-refundable.
Changes to Terms & Conditions
– Service providers must review periodic updates to Brand Collaboration’s Terms & Conditions**.
– Failure to object within seven (7) days implies acceptance.

6. Confidentiality
– Service providers must maintain strict confidentiality regarding Brand Collaboration’s business and referral information.
– Any breach of confidentiality may result in legal consequences.

7. No Warranties, Indemnification, & Liability
No Warranties
– Referrals are provided “AS IS”, with no guarantees of outcome.
Indemnification
– Each party agrees to indemnify and hold the other harmless** from legal claims arising from this agreement.
Limitation of Liability
– Brand Collaboration’s liability shall not exceed the **greater of $1,000 or referral fees paid in the last 12 months.
Insurance Requirement
– Service providers must maintain **general liability and errors & omissions insurance**.

8. Miscellaneous
No Assignment
– The agreement cannot be transferred without Brand Collaboration’s consent.
Dispute Resolution
– Disputes must be resolved via **binding arbitration under AAA rules in Virginia.
– Class action lawsuits are not permitted.
Governing Law
– This agreement is governed by the laws of Virginia.
Attorney’s Fees
– Brand Collaboration may recover attorney’s fees in legal disputes.
No Partnership or Agency
– The agreement does not establish a partnership, joint venture, or agency.
Force Majeure
– Neither party is liable for delays caused by events beyond their control.
